upon or in connection with the leased premises. Said policy (or policies) shall be written with a single limit (minimum) of $1,000,000.00 for bodily injuries per incident and $100,000.00 for property damage per incident. City and Fair, Inc., shall be named as insured in said policy or policies and said policy or policies shall be deposited with the City Clerk prior to commencement of any construction work on the demised premises by Fair, Inc., or its sublessees, concessionaries, or licensees. Any contracts Fair, Inc., enters into with third parties for improvements on the land herein shall contain provisions whereby no person or firm can look to the City or the City's property for satisfaction of any claims arising out of such contracts.

14. NONASSIGNMENT

Fair, Inc., may not assign this lease without the written consent of the City.

15. MAINTENANCE OF UTILITIES, ETC.

City will provide maintenance of pavement and utilities in public streets, and Fair, Inc., will provide maintenance of utility service lines, parkways, etc., as occupant of the demised premises, as prescribed by pertinent City ordinances and regulations.

16. PRIOR AGREEMENT

This agreement is intended to implement the aforementioned agreement contained in Ordinance 32214, the terms of which shall remain in effect in all respects not in conflict with the provisions hereof.

17. COOPERATION AND EFFORT

Both parties hereto pledge their utmost effort and cooperation in the exercise of the duties and responsibilities set forth herein.

18. TERMINATION

Upon termination of the lease herein, Fair, Inc. shall prepare and deliver to the City a complete audit and financial accounting of all funds received and disbursed throughout the term of this Project.

19. EXECUTION

This Lease Agreement executed in DUPLICATE ORIGINAL at San Antonio, Texas, this 20th day of April, A.D., 1965.

APPENDIX VII

RESOLUTION

Whereas San Antonio and Bexar County are engaged in a dramatic project called "HemisFair 1968", devoted to the achievements of the Americas in commerce and industry, in education, science, art and the professions; and

Whereas the year of 1968 will also witness the magnificent celebration of the 250th Anniversary of San Antonio's founding; and,

Whereas it is recorded by reliable research institutes that Bexar County can expect up to 8.5 million people to attend the HemisFair in 1968, thus presenting an opportunity for all areas of Texas to feel the economic impact of these visitors; and,

Whereas the people of San Antonio and Bexar County, through their elected delegates to the State Senate and the State House of Representatives are asking that the State of Texas directly participate in "HemisFair 1968" by an appropriation which will adequately represent the great State of Texas for all visitors from every part of the world to see and to enjoy : Now, therefore, be it

Resolved, That this Bexar County Commissioners' Court, in the sincere belief that all highways and all roads in the State of Texas will lead to the "HemisFair in 1968", thus bringing new gains to the economy of all parts of our State, herewith records its full support of the Bexar County State Senator and State Represenatives in their request for State participation and earnestly request their fellow County Judges and County Commissioners to join with us in this noble endeavor.
